Pro-Client Services Warranty Warranty and Disclaimers (1) Definitive Business Solutions warrants that the Services will be performed consistent with generally accepted industry practices. The Client must report any deficiencies in the Services to Definitive Business Solutions in writing within seven (7) days of completion of the Services in order to receive warranty remedies provided herein, otherwise the Client shall be deemed to have accepted such Services seven (7) days after the completion of such Services. (2) The warranty herein is exclusive and in lieu of all other warranties, whether expressed or implied, including the implied warranties of merchantability and fitness for a particular purpose or other warranties and shall govern and supercede any other terms in this agreement. Exclusive Remedy For any breach of the above warranty, the Client's exclusive remedy, and Definitive Business Solution’s entire liability, shall be the re-performance of the Services and if Definitive Business Solutions fails to re-perform the Services as warranted, the Client shall be entitled to recover the fees paid to Definitive Business Solutions for the deficient Services. Correction of nonconformities in the Services shall constitute fulfillment of all liabilities of Definitive Business Solutions, whether based on contract, negligence or otherwise with respect to, or arising out of such Services as provided hereunder.
